TERMS AND CONDITIONS FOR SWEEPSTAKES PARTICIPATION

(ORIGINATE INSTAGRAM PROMOTION)

  1.  PROMOTION ORGANIZER

The company Originate Developments Inc. (hereinafter “Originate”)located in the City of Toronto, province of Ontario, Canada, has organized this sweepstakes (hereinafter, “the Promotion”) of national and international scope, which will take place on the internet through the Instagram application only, and accordance with the provisions in the participation requirements section.  Participants are advised that the promotion and prize requires in-person attendance at such venues and locations as described in the promotion conditions and prizes section, which is in the province of Ontario, Canada, and that such prizes DO NOT include transportation nor accommodations, hence the winner will be responsible for their own transportation, accommodations, and anything else with regards to same, and that Originate will not be responsible in the event a winner cannot attend at such venues and times as stipulated in the prizes.  Originate will also not be responsible for the transferability of any such prices once awarded to the winner.  The winner will be required to abide by the terms and conditions that attach to any such prizes, for example, their transferability, and the legal age requirements to access the basketball arenas where the Toronto Raptors basketball team would be playing (e.g. must be considered an adult).  Finally, participants and the winner are advised that with regards to this Promotion, Originate will not be responsible for any losses or damages suffered, in any way, known or not-known, now or in the future by the winner or any participants or to anyone who participates in the Promotion or prize, and that Originate will be held harmless by such participants and/or winner in the event any claim is brought against or because of such participants and/or winner where an award for damages or indemnity is sought against or from Originate.      

The purpose of this sweepstakes is to reward the loyalty of a follower of the “Originate” brand of mixed-use residential construction developments in Ontario, Canada.

Participants and followers are advised that this Promotion is in no way sponsored, endorsed or administered by, or associated with, Instagram, Facebook or Meta, or any other social media platform.

  1. START DATE AND END DATE

The Promotion will start on the 1st day of September, 2023 at 12:00 pm eastern standard time and ends on the 30th day of September, 2023 at 12:00 am eastern standard time (the “Participation Period”).

  1. REQUIREMENTS FOR PARTICIPATION AND MECHANICS OF THE PROMOTION

During the Participation Period, Participants must complete all of the following requirements to participate and to enter into the random draw as one entry:

  • Only users with an Instagram account may participate and must be or become a follower of Originate’s Instagram account, “originate.developments”, throughout the Promotion and after.
  • Participants must like, by double clicking/tapping the Promotion post or by clicking/tapping the like button,  , below the Promotion post.
  • Participants must also save the Promotion post by clicking/tapping the save button, , below the Promotion post from the Participants Instagram feed or from Originate’s profile. To save the reel of the Promotion post, tap the and then tap Save.
  • Participants must mention at least 3 Instagram usernames of their friends/followers in the comments of/below the Promotion post by clicking/tapping the speech bubble icon under the Promotion post to make a comment and type “@” and start entering the friend/follower’s Instagram username (doing this three (3) times in the same comment).  If you mentioned a friend/follower in separate comments, it will not be counted/considered as meeting the requirements unless there are three (3) mentions of three (3) different friends/followers using the at, “@”, symbol in front of each.
  • If Participants make more than one comment below/on the Promotion post, with three (3) mentioned friends/followers, using the at, “@”, symbol in front of each, they will be given an additional entry into the random draw for each such comment.  Participants are advised that the followers/friends must all be different in all of the comments, falling which the comment will not be counted towards the requirements to participate.
  • The application will accumulate mentions from a single Participant even if they are in different comments so long as there are exactly three (3) follower/friends mentioned in a single comment.
  • Participants will receive an additional entry into the random draw should they share the Promotion post to their own Instagram account’s story.  However, Participants will not receive more entries into the random draw should they share the Promotion post more than once.
  1. PROMOTION CONDITIONS AND PRIZES

The winner will be chosen at random via the Easy Giveaways platform/application. The winner will be announced on the 30th day of September, 2023 through Originate’s social media profiles, including its Instagram account, “originate.developments”, together with the Certificate of Validity of the sweepstakes.  The winner is advised and acknowledges that their user account name will be publicized and announced throughout Originate’s social media accounts on various platforms, including Instagram and Facebook.

The prize will consist of

  • Two (2) courtside tickets to Toronto Raptors basketball game (actual seating location, date, start time, duration and venue/arena location will be determined after the award is announced);
  • A short meet and greet with the Toronto Raptors basketball player, Scottie Barnes (date, start time, duration and location will be determined after the award is announced). The winner will be required to abide by the rules, restrictions and requirements determined by Scottie Barnes and his managers at or before the meeting, and are advised that the meeting may take place at a different location, time and date from the basketball game; and
  • A Toronto Raptors basketball team jersey signed/autographed by Scottie Barnes (the type, size and manufacturer to be determined by Originate)

The prize may not be exchanged for cash or any other prize, nor may it be changed or altered in any way.

Running of the sweepstakes, as well as awarding of the prize, are subject to current tax regulations.

  1. DISQUALIFICATIONS AND PENALTIES

If it becomes evident that any of the Participants have not met the requirements of these Terms and Conditions, or that the data provided for participation is not valid, the participation is considered null and void and the Participant will automatically be excluded from the Promotion, losing all rights to the prizes on offer in the Promotion.

  1. PUBLICATION OF COMMENTS OR OPINIONS

No comments or opinions whose content is considered inappropriate, offensive, insulting or discriminatory, or that could violate the rights of third parties, will be allowed. Nor will comments be permitted against any individual that are an infringement of personal honor, personal and family privacy, or personal image rights. We will not be responsible for any damages caused by comments made by Participants, or that may at any time offend the sensitivities of other Participants.

Participation in this Promotion, as well as the publication of comments made by Participants in their posts, may not under any circumstances infringe the Instagram Community Guidelines or the Instagram Terms of Use.

  1. EXCLUSION OF LIABILITY

By way of example, but not limitation, Originate, its Promotion organizers and Instagram are not responsible for any losses, theft, delays or any other circumstances attributable to third parties that may affect the progress of this Promotion; nor are Originate, its Promotion organizers and Instagram responsible for the use made by the Participant of the prize obtained in this Promotion.

Originate, its Promotion organizers and Instagram do not assume responsibility in cases of force majeure or unforeseeable circumstance that may prevent the carrying out the Promotion or the total or partial enjoyment of the prize.

Regardless of the cause or circumstances each Participant or follower or user of Instagram, fully and entirely releases Originate, its Promotion organizers and Instagram from any matter whatsoever with regards to or stemming from this Promotion, known or not know, now or in the future.

  1. PROTECTION OF PERSONAL DATA

In accordance with the provisions of Canada’s Personal Information Protection and Electronic Documents Act, by accepting these Terms and Conditions, each Participant consents to having their personal data included in a file, owned by Originate and its Promotion organizers, for the purpose of managing the sweepstakes, disseminating and publicizing the results, and administering the awarding of the prize.

We inform you that you may exercise your rights of access, rectification, deletion, opposition, limitation of processing, portability, and right to be forgotten, as well as your right to not be the subject of automated individual decisions, by sending an email to Info@Originate.build, attaching a copy of your ID document.

  1. CHANGES AND ACCEPTANCE

We reserve the right to modify or expand these Terms and Conditions, as long as they do not harm or impair the rights of Participants.

By participating in the sweepstakes, the Participant is, by implication, fully accepting the conditions of these Terms and Conditions. Likewise, participation in a sweepstakes of this nature implies acceptance of the rules of Instagram, the social network in which the sweepstakes is to be carried out.

  1. APPLICABLE LEGISLATION AND JURISDICTION

These Terms and Conditions shall be governed in accordance with the laws of the province of Ontario and the federal laws of Canada, as applicable. The Courts and Tribunals of the city of Toronto in the province of Ontario will be competent to resolve any claim or controversy that may arise in relation to the validity, interpretation or fulfillment of these Terms and Conditions.
